1. Scope and acceptance

These Website Terms of Use ("Terms") govern your use of the website at www.apexgridapps.com and any sub-paths, content, features, and services made available through it by Apex Grid Technologies Limited ("Apex Grid", "we", "us", "our"), other than services governed by a separate written agreement between you and us.

By accessing or using apexgridapps.com, you agree to be bound by these Terms. If you do not agree, do not use the website.

Other terms that may apply to you, in addition to these Terms:

  • Our Privacy Policy describes how we handle personal data.
  • FinovaMax Website Terms of Use at finovamax.com/legal/terms.html govern use of the FinovaMax website.
  • The FinovaMax Platform Master Agreement governs paying customers of the FinovaMax core-banking platform and is provided separately as part of customer onboarding.
  • Asotele Beta / Research Use Terms in §8 below govern any access to the Asotele applied-AI research module.

In the event of conflict between a separate written agreement and these Terms, the separate written agreement controls for the subject matter it covers.

2. Who we are

Apex Grid Technologies Limited is a private limited company incorporated in Nigeria, with registered company number RC 9108833. We are headquartered in Lagos, with additional operations in Abuja.

Apex Grid is the operator of apexgridapps.com and of the product brands developed under it, including FinovaMax (a core-banking platform for Nigerian financial institutions) and Asotele (an applied-AI research programme focused on African macro-economic environments).

For any matter under these Terms, contact us using the details in §17 (How to contact us).

3. Permitted use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the publicly-available content on apexgridapps.com for your personal, non-commercial information, and for legitimate business engagement with Apex Grid.

You may:

  • Browse the website and read the content.
  • Submit enquiries through the contact form, by email, or through other channels we provide.
  • Apply for advertised roles.
  • Engage in good-faith partnership, investor, advisor, or vendor discussions.

4. Prohibited use

You agree NOT to:

  • Use the website in any way that violates applicable law, including the Cybercrimes (Prohibition, Prevention, Etc.) Act 2015 and any successor legislation.
  • Attempt to gain unauthorised access to the website, its servers, the database, the underlying infrastructure, or any account associated with apexgridapps.com or any Apex Grid product.
  • Probe, scan, or test the vulnerability of the website or its infrastructure without prior written authorisation from Apex Grid.
  • Use any automated means (including bots, scrapers, crawlers, harvesters, or AI agents) to access, collect, or extract content from the website, except for compliant search-engine indexing.
  • Use the website or any content sourced from it to train, fine-tune, evaluate, or develop any machine-learning model, large language model, or other artificial-intelligence system, except with Apex Grid's prior written consent.
  • Interfere with or disrupt the website's normal operation, including by transmitting malware, viruses, denial-of-service payloads, or excessive traffic.
  • Misrepresent your identity, your affiliation with any person or organisation, or any other material fact when communicating with us.
  • Use the website to harass, defame, or harm any person.
  • Reproduce, redistribute, sell, sub-licence, or commercially exploit the website's content, in whole or in part, except as expressly permitted by these Terms or with our prior written consent.

5. Your submissions

When you submit any information, content, or material to us through the website or by other means in connection with the website ("Submissions"), you represent that:

  • The Submission is your own or you have the necessary rights to submit it.
  • The Submission does not violate any applicable law or any third party's rights, including intellectual-property and privacy rights.
  • The Submission is accurate and not misleading.

You grant Apex Grid a worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, and display the Submission solely to the extent reasonably necessary to respond to your enquiry, evaluate any opportunity you propose, operate the website, comply with legal obligations, and improve our services. This licence does not transfer ownership of the Submission to us.

We are under no obligation to use, retain, or respond to Submissions.

6. Intellectual property

All text, graphics, logos, software, and other content on apexgridapps.com, and the design and arrangement of the website itself, are owned by Apex Grid or licensed to us, and are protected by Nigerian and international copyright, trademark, and other intellectual-property laws.

The names "Apex Grid", "Apex Grid Technologies", "FinovaMax", "Asotele", and our associated logos and brand assets are trademarks or service marks of Apex Grid Technologies Limited. You may not use them without our prior written consent, except in factual reference to Apex Grid or its products consistent with fair-dealing principles.

Nothing in these Terms grants you any right or licence to any of our intellectual property except as expressly stated.

7. Third-party links

apexgridapps.com may include links to third-party websites and resources. These links are provided for convenience only. Apex Grid does not endorse, control, or take responsibility for the content, policies, or practices of any third party. Your use of any linked site is at your own risk and subject to the terms of that site.

8. Asotele — Beta / Research Use Terms

This Section 8 applies in addition to the other Sections of these Terms whenever you access, evaluate, or otherwise interact with Asotele or any output it produces.

8.1 Nature and purpose of Asotele

Asotele is Apex Grid's applied-AI research programme. It includes one or more large language models and related software components that produce text, analysis, and other outputs about African economic, regulatory, behavioural, and macroeconomic subject-matter. As of the Effective date of these Terms, Asotele is a research-stage system. It is not a production product. It is not certified, regulated, audited, or warranted as fit for any particular operational, decisional, advisory, or regulated use.

References in these Terms to "Asotele" include the underlying models, the software wrappers, any associated APIs, any web or chat interface, and any outputs generated by the system.

8.2 Permitted research use

Where Apex Grid grants you access to Asotele (whether through a public interface, a private beta, a research collaboration, or a demo), you may use Asotele only for legitimate research, exploration, and evaluation consistent with these Terms and any additional written instructions we provide. You are responsible for ensuring your use complies with all applicable laws and the rights of others.

8.3 Prohibited Asotele use

You agree NOT to use Asotele to:

  • Make or rely upon any regulated decision affecting any person — including any decision relating to credit, lending, deposit-taking, insurance, employment, healthcare, education access, immigration, criminal justice, or other matters where regulated professional judgement, licensure, or human oversight is required by law.
  • Generate, distribute, or facilitate unlawful, defamatory, harassing, fraudulent, deceptive, abusive, threatening, discriminatory, sexually exploitative, or violent content.
  • Generate content that impersonates any real person without their consent, or that misleadingly attributes content to any person, organisation, or regulator.
  • Generate, evaluate, or test malware, exploits, or instructions for committing crimes or causing physical harm.
  • Bypass any safety, content-moderation, rate-limiting, or access-control mechanism that Apex Grid or any sub-processor applies to Asotele.
  • Scrape, extract, or systematically harvest Asotele outputs to build a competing model or dataset.
  • Use Asotele outputs to train, fine-tune, evaluate, or develop any machine-learning model, large language model, or other artificial-intelligence system intended to compete with Asotele or any other Apex Grid product, except with Apex Grid's prior written consent.
  • Submit personal data of third parties to Asotele where you do not have a lawful basis to do so, or submit sensitive personal data (including health information, religious beliefs, biometric data, or financial-account credentials) under any circumstances.
  • Submit confidential information of any institution (including but not limited to customer records, transaction data, internal regulatory filings, employee data) to Asotele unless that institution has authorised you to do so and Apex Grid has agreed in writing.
  • Use Asotele to generate professional advice purporting to be legal, financial, medical, tax, banking, accounting, investment, regulatory, engineering, or psychological advice.
  • Hold out Asotele outputs as the work of any specific person, regulator, court, or institution other than Asotele itself.

8.4 No professional advice

Asotele outputs are not professional advice. They are not legal, financial, medical, tax, banking, accounting, investment, regulatory, engineering, or psychological advice. They are generated by an automated language model that may produce information that is incomplete, outdated, biased, or simply incorrect ("hallucinations"). You must independently verify any Asotele output before relying on it for any consequential purpose. Do not act on Asotele outputs without appropriate professional review.

8.5 Output and inputs

Your inputs. You retain ownership of the text and other materials you submit to Asotele ("Inputs"). You grant Apex Grid a worldwide, royalty-free, non-exclusive licence to process Inputs to generate Outputs, operate Asotele, improve Asotele's models and infrastructure, and comply with legal obligations. Where Inputs include personal data, that processing is also subject to our Privacy Policy.

Outputs. As between you and Apex Grid, and to the extent permitted by applicable law, Apex Grid grants you a worldwide, non-exclusive, royalty-free licence to use the text Asotele generates in response to your Inputs ("Outputs") for the research or evaluation purpose for which they were generated. Outputs are not warranted as accurate, original, or non-infringing. Outputs may be the same as or similar to outputs Asotele generates for other users in response to similar inputs; Apex Grid makes no commitment of exclusivity.

Apex Grid retains all rights in Asotele itself, including the underlying models, training data, software, weights, prompts, system instructions, infrastructure, and improvements derived from operating Asotele.

8.6 No human review

Unless Apex Grid explicitly states otherwise in writing, Asotele Outputs are generated by automated systems and are not reviewed by a human prior to delivery. Apex Grid does not represent that any Output has been verified, validated, or approved by any qualified professional.

8.7 Suspension, rate limiting, and termination of Asotele access

Apex Grid may, at any time and at our sole discretion, rate-limit, suspend, throttle, modify, or terminate your access to Asotele, with or without notice, including (without limitation) where we suspect a violation of these Terms, where we believe your use poses risk to Asotele's operation or other users, or for any operational, security, legal, or business reason.

8.8 No fitness for purpose

To the maximum extent permitted by law, Apex Grid disclaims any representation that Asotele is fit for any particular purpose, including but not limited to use in any regulated industry, decision-making process, advisory engagement, or consumer-facing application. Use of Asotele is at your own risk and discretion.

9. Product-specific terms (FinovaMax)

The FinovaMax core-banking platform is governed by its own Website Terms of Use (finovamax.com/legal/terms.html) and, for paying customers, a separate Platform Master Agreement provided as part of customer onboarding. Those documents take precedence over these Terms in respect of FinovaMax-specific subject matter.

10. No warranty

apexgridapps.com and any content, services, and software made available through it (including Asotele where applicable) are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by law, Apex Grid disclaims all warranties, including (without limitation) merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, title, security, uninterrupted operation, and freedom from errors, viruses, or harmful components.

No advice or information, whether oral or written, obtained from Apex Grid or through the website creates any warranty not expressly stated in these Terms.

11. Limitation of liability

To the maximum extent permitted by law, in no event shall Apex Grid, its directors, officers, employees, agents, sub-processors, or licensors be liable to you for any:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, revenue, data, business opportunity, goodwill, or reputation), arising out of or related to your use of apexgridapps.com or any content, services, or software (including Asotele) accessed through it.
  • Damages exceeding, in aggregate, ₦100,000 (one hundred thousand naira) or the equivalent in your local currency, regardless of the form of action, theory of liability, or basis of claim.

These limitations apply whether the action is based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Apex Grid has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits Apex Grid's liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Apex Grid, its directors, officers, employees, agents, sub-processors, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your access to or use of apexgridapps.com or any content, services, or software accessed through it (including Asotele).
  • Your violation of these Terms.
  • Your violation of any applicable law or any third-party right.
  • Any content, data, or other material you submit or transmit through the website.

13. Suspension and termination

We may suspend, restrict, or terminate your access to apexgridapps.com or any service made available through it (including Asotele) at any time, with or without notice, for any reason, including but not limited to suspected violation of these Terms or applicable law.

Upon termination, the provisions of these Terms that by their nature should survive (including IP, no-warranty, limitation of liability, indemnification, governing law, and miscellaneous) will continue to apply.

14. Changes to these Terms

We may update these Terms from time to time. The "Effective" date at the top of this page reflects the date of the latest version. Material changes will be communicated through reasonable means, which may include a notice on apexgridapps.com or email to subscribers. Your continued use of the website after a change constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.

Dispute resolution sequence:

  • Good-faith negotiation — In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiation, with notice in writing, for a period of thirty (30) days.
  • Mediation — If the dispute is not resolved through negotiation within that period, the parties agree to attempt mediation administered by the Lagos Multi-Door Courthouse (LMDC) under its applicable rules, before commencing any court proceedings.
  • Court proceedings — If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

16. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any other terms expressly referenced (including for FinovaMax customers their respective agreements), constitute the entire agreement between you and Apex Grid regarding your use of apexgridapps.com and supersede any prior agreement or understanding on the subject matter.

Severability. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

No waiver. Apex Grid's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Apex Grid may assign these Terms in connection with a merger, acquisition, restructuring, or sale of all or part of our business.

Force majeure. Apex Grid shall not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including (without limitation) acts of God, war, terrorism, civil unrest, government action, internet or telecommunications failure, power failure, natural disaster, public-health emergency, or regulatory restriction.

Headings. Section headings are for convenience only and have no substantive effect.
